Welcome to MediaRoom. These Terms of Service ("Terms") govern your access to and use of the MediaRoom website, rooms, chat, uploads, and related services (the "Service").
By creating an account, accessing, or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with permission of a parent or legal guardian.
2. Your Account
To use certain features, you may need to create an account using your email address and password.
You are responsible for:
- providing accurate account information
- maintaining the confidentiality of your login credentials
- all activity that occurs under your account
You must notify us promptly if you believe your account has been compromised.
3. The Service
MediaRoom provides online rooms and related features that may include:
- public rooms
- private rooms
- chat
- profiles and avatars
- file or image uploads
- embedded or linked media streams from third-party services such as SomaFM or others
We may change, improve, suspend, or discontinue any part of the Service at any time.
4. Acceptable Use
You agree not to use the Service to:
- violate any law or regulation
- harass, threaten, abuse, or impersonate others
- post or share unlawful, defamatory, hateful, fraudulent, or infringing content
- upload malware, harmful code, or malicious files
- spam, phish, scam, or deceive others
- interfere with the operation, stability, or security of the Service
- attempt unauthorized access to accounts, rooms, systems, or data
- scrape, copy, or exploit the Service in ways not authorized by us or applicable law
- upload content you do not have the right to use or share
5. Public and Private Rooms
MediaRoom includes both public and private rooms.
You understand that:
- content in public rooms may be seen by other users in those rooms
- content in private rooms is intended for authorized participants, but no online system can be guaranteed completely private or secure
- you are responsible for what you post, upload, or say in rooms and chat
We may moderate rooms, remove content, or limit access if needed to protect users or the Service.
6. User Content
“User Content” means any content you upload, post, transmit, share, or otherwise make available through the Service, including:
- chat messages
- avatars
- images
- files
- profile content
- room content
You retain ownership of your User Content.
However, by submitting User Content through the Service, you grant MediaRoom a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and distribute that content only as needed to:
- operate the Service
- provide room, chat, and upload functionality
- display content to intended recipients or participants
- maintain and improve the Service
- enforce these Terms and protect the Service
You represent and warrant that you have all rights necessary to upload and share your User Content.
7. Moderation and Enforcement
We reserve the right, but not the obligation, to monitor, review, remove, restrict, or refuse content or access if we believe it:
- violates these Terms
- is unlawful
- infringes rights of others
- creates risk for users or the Service
- is abusive, harmful, or disruptive
We may suspend or terminate accounts that violate these Terms.
8. Third-Party Services and Content
The Service may link to, embed, or integrate third-party services and content, including streaming media providers such as SomaFM.
We do not control and are not responsible for third-party content, services, privacy practices, or terms. Your use of third-party services may also be governed by their own terms and policies.
9. Intellectual Property
The Service itself, including its software, design, branding, text, graphics, interface, and other content provided by MediaRoom, is owned by MediaRoom or its licensors and is protected by intellectual property laws.
Except for the limited right to use the Service under these Terms, no rights are granted to you.
10. Feedback
If you send us suggestions, ideas, or feedback, you agree that we may use them without restriction or compensation to you.
11. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, MediaRoom disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and security.
We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of harmful components.
12. Limitation of Liability
To the fullest extent permitted by law, MediaRoom and its operators will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of the Service.
If MediaRoom is found liable for any claim related to the Service, our total liability will not exceed the greater of:
- the amount you paid us, if any, for the Service in the 12 months before the claim, or
- USD $100
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless MediaRoom and its operators from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of the Service
- your User Content
- your violation of these Terms
- your violation of any rights of another person or entity
14. Termination
You may stop using the Service at any time.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you violated these Terms, created risk, or misused the Service.
15. Changes to the Service or Terms
We may update the Service or these Terms from time to time. If we make material changes, we will update the Effective Date above and may provide additional notice where appropriate.
Your continued use of the Service after updated Terms become effective means you agree to the revised Terms.
16. Governing Law
These Terms are governed by the laws of the State of Connecticut, without regard to conflict of laws rules.
